13.承租人(乙方)责任:乙方应按照本合同条款规定支付租金,押金及其他费用。如有拖欠,则作违约处理,租赁期内未经甲方同意,乙方不能转让其所租房屋,私自转让无效。

14.乙方应爱护房屋及其设备,如因使用不当导致损坏,应予赔偿。乙方不应改变原有房屋设施。

15.租赁房屋过程中,承租人必须严格遵守物业管理规定,中国宪法,法律,细则,规章及Rentsinthehouseprocess,thetenantmuststrictlycomplywiththeestatemanagementstipulation,theChineseconstitution,thelaw,theregulation,therulesandregulationsandlawstipulatedthatandforbidsthetenantusingthehousebythebehaviorthatanyformcarriesontoviolatethelaw.
16.争议的解决。凡执行本合同或与本合同有关争议,由双方友好协商解决,协商不成,提请由当地人民法院仲裁。

违反中国法律行为。否则,一切后果,由乙方负责。

6、乙方不得拒绝甲方派谴之人员,在适当时间入屋检视该单位近况或进行任何修理工程。
PartyBshallpermitPartyAanditsagentswithorwithoutworkmenorothersandwithorwithoutappliancesatallreasonabletimestoenteruponthesaidpremisesandtoviewtheconditionthereofandtotakeinventoriesofthefixturesthereinandtocarryoutanyrepairstothepremiseswhichPartyAconsidersnecessaryorpropertobedone.
7、当租约期满或终止前X个月,甲方有权在不骚扰原则下,张贴招租告示于该单位外,
乙方亦应准许甲方/代理人在合理时间内,带同新租客进入该物业视察。

8、租约期满,乙方如需延长租约,须在租约期满X个月前以书面方式通知甲方,经甲
方同意,乙方可以新订租金和租约继续入住该物业。

9、乙方须自行投买风灾,水灾,火灾,盗窃,意外保障等等,乙方如在该单位内有任何损失,
甲方不负任何责任。
PartyBshallhimselfcoverinsuranceforhisownbelongingsagainstTyphoon,Depression,Storm,Flood,Fire,Theft,Accidents,etc.inrelationtothisTenancy.PartyAshallnotberesponsibleforanydamageorlossunderallcircumstances.
10、乙方不得于单位内制造或容许制造噪音,异味或任何滋扰邻居或业主安宁之举动,其中
包括拖欠租金。经警告后仍未有所改善,甲方有权终止租约。
PartyBshallnotpermitanynoiseorallowanymusictobeproducedinthepremisessoastogivecauseforreasonablecomplaintfromtheoccupantsofneighboringpremises,otherwise,PartyAhastherighttoterminatethetenancyimmediatelyifcasecontinuedafteradvised.11、
12、甲方须承担该物业的房产税、土地使用税。PartyAshallpayallpropertytax,landtaxandanyothertaxorchargeofthesaidpremises.租约期内,甲方有权将该物业出售给第三者,本合约对购得该物业之新业主仍然有效,
所有适用于甲、乙双方的条款,同样无条件适用于新业主和乙方。

八、出租人的责任

8.1甲方须按时将出租房屋及其设施以良好的状态交付乙方使用。

8.2租赁期内甲方不得收回出出租房屋(除非本合同另有规定)
PartyAshallnottakebacktheleasedpropertydurningthetermofthetenancy.(Unlessotherwisestipulatedinthisagreement)
8.3在乙方遵守本合同的条款及交付租金的前提下,乙方有权于租赁期内拒绝甲方或其他
人骚扰而安静享用出租房屋。

mentforthetenancy,PartyBhastherighttorefusetheinterruptionfromParty
Atoenjoythelifesatisfactionandpeace.
8.4房屋基本设施和结构,甲方有修缮的责任并承担有关的费用,并对其做定期修缮。PartyAisresponsibleforrepairingandmaintainingthebasicfacilitiesofthelease
dpropertyandforbearingallcoststhereto.
8.5甲方谨在此声明及保证甲方为出租房屋的合法拥有人并由合法地位出租此房屋与乙方。PartyAherebyrepresentsandwarrantsthatPartyAisthelegalowneroftheleas
edpropertyandhasthenecessarylegalcapacitytoleasethepropertytoPartyB.
8.6如在租赁期内,租赁房屋发生所有权全部或部分转移、或其他影响乙方权益的事情时,
甲方应保证所有权人或者其他影响乙方权益的第三者,能继续遵守本合同所有条款,如乙方与本合同的权益人首次等所有权人或第三者所影响或损害,甲方须负责任补偿乙方的所有损失、损害、支出及费用。

orPartyB’srighttousetheleasedpropertyisattested,PartyAshallensurethatsuchtransfereeorthirdpartyhavinganeffectonPartyB’srighttousetheleasedpropertywillcontinuetoabidebythetermsofthisAgreement.PartyAshallalsobeliabletokeepPartyBbefullyindemnifiedagainstanycosts,expenses,losses,anddamagessufferedbyPartyBifanyofPartyB’sinterestshereinareaffectedorprejudicedbyathirdparty.
九、承租人的责任:

9.1乙方应按合同的规定,按时支付租金,保证金及其他各项应付费用。

9.2乙方经甲方事先同意,可在承担租用房内进行装修及添置设备,租赁期满必须恢复原
状(正常损耗除外),并承担其费用,经甲方验收认可后归还甲方。

tiesintheleasedproperty.UponexpirationifthetenancytheleasedpropertyshallberesumedtoPartyAinitsoriginalconditions(fairwearandtearexempted)andallexpensesarisingtherefromshallbebornebyPartyB.
9.3乙方应爱护使用租赁的房屋,如因乙方的过失或过错致使房屋及设施受到损失(正常
损耗除外)乙方应负赔偿责任。

9.4乙方应按本合同的规定合法使用租赁房屋,不得擅自改变其性质,不应存放中华人民
共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。

notchangesuchuseonitsown.PartyBshallnotstoreanydangerousitems,whichareprohibitedbythelawsinthePeople’sRepublicofChinaintheleasedpropertyandshallbefullyresponsibleforanydamagesoraresultthereof.
9.5租赁期即将结束之日,经乙方同意,甲方可以带其他客户看房。

9.6中英文条款及意思如有不一致之处,双方协调解决。

十、违约处理:

10.1乙方如有下列行为之一的,甲方有权终止本合同,收回出租房屋,并且扣除房屋保证

十一、适用法律
Applicablelaw:
本合同的成立,其有效性、解释、签署和解决与其有关的一切纠纷均受中国法律的管辖并依据中国法律并以中文为准。

九、乙方的责任:

十一、适用法律:

第三条租赁期限

第四条权利和义务

2.乙方对其租赁办公室区域内所有财产实施管理,并对其安全负责。甲方对该区域内属于乙方的财产的'损坏、灭失等不承担责任,除非该损失是由于甲方的疏忽或故意行为造成的。

3.乙方有下列情形之一的,甲方可以终止合同、收回办公室:
ifanyofthesituationsmentionedbelowoccurs,partyahastherighttoterminatetheagreementandtaketheofficeback.
(1)乙方擅自将所租赁办公室转租、转让或转借的;
partybrents,orsellsorlendstheofficetothirdpartywithoutpartya’spermission.
(2)乙方利用承租办公室进行非法活动,损害公共利益的;
partybusestherentingofficeforillegalactivitiesandharmsthepublicbenefits.
(3)乙方拖欠租金累计达3个月的;
partybdelayspaymentfor3months.
(4)乙方有本合同第六条所涉及的甲方所不允许的行为的。

4.合同期满后,如甲方仍继续出租办公室的,乙方享有优先权。如乙方无故逾期不搬迁,由此给甲方造成的一切损失由乙方承担。

第六条办公室的装修及使用
1.乙方如对办公室进行装修时,不得擅自改变办公室结构和原有风格,并在装修前向甲方提交办公室装修方案(内容包括:设计图、所使用的装修材料、装修中使用的设备等),在获得甲方的书面同意后,装修方可进行,但甲方不得无理拒绝签发同意书。

2.乙方如对办公室进行装修时,不得擅自改变办公室内的电源、通讯等线路和空调、喷淋等各种管路的原有走向,如确因使用电脑或其它办公设备而需增加电源插座时,应在装修方案中列明,获允许后方可施工,施工完毕后由甲方查验。如有损坏,除负责修复外,还应对造成的后果承担全部责任。

3.鉴于办公室和地坪承载负荷限制,乙方如对办公室进行装修时,不得使用花岗石、大理石等重质材料作为地面装饰。

5.鉴于甲方已为乙方提供了空调设备,乙方在进行办公室装修时或办公室使用过程中,不得再安装任何形式的空调设备或取暖装置。乙方同意,在办公室租用期间,不使用单体耗电量超过300瓦的电气设备,每个接电插座用电容量不超过10安培,以确保货运站的用电安全。

6.乙方同意不论何种原因致使乙方中止本合同,乙方在迁离货运站时,不得对原属于甲方所有的固定设备或装置造成损坏,并负责将所租用办公室恢复至租赁前原样,但办公室的正常损耗除外。

第七条违约责任

1.甲方未按前述合同条款的规定和按时向乙方交付合乎要求的办公室或有其他违约事项的,负责赔偿违约金为租赁期全部租金的10%。

第八条免责条件

第九条争议的解决方式

本合同在履行中如发生争议,双方应协商解决;协商不成时,任何一方均可依据中华人民共和国仲裁法向上海市仲裁委员会提请仲裁。仲裁结果将为最终结果,对双方均有约束力。

6.ThattheLESSORherebyacknowledgesreceiptofthesumofRs.60,000/-(RupeesSixtyThousandOnly)fromtheLESSEEasFIXEDEDPOSITSECURITYwhichshallberefundedtotheLESSEEongivingbackthevacantpossessionoftheDEMISEDPREMISESafterdeductionofdamages/shortagesoutstandingbillsforElectricity,Water,GasandTelephonechargesetc,againsttheDEMISEDPREMISES.
THELESSEEHERBYCONVENANTSWITHLESSORASFOLLOWING:
1.TopaytotheLESSORtherentherebyreservedinthemannerbeforementioned.
2.ThattheLESSEEshallnotatanytimeduringtheterms,withouttheconsentinwritingoftheLESSOR,pulldown,damagesormakeanystructurealterationstotheDEMISEDPREMESESprovidedalways,theLESSEEshallhavegowriteinstallanyfixturesandfittingsexcludingair-conditionersintheDEMISEDPREMESES,todetachandrepossessthesamesubjecttotherestorationoftheDEMISEDPREMESEStotheiroriginalstateathiscost(reasonablewearandtearexcepted)ontheexpiryofthisleaseoranyrenewalhereof.

十一、甲方的权利义务:
PartyA‘SRIGHTSANDRESPONSIBILITES:
11.1甲方在本租赁合同规定的期限内将房屋交付乙方。
PartyAshalldeliverthePremisestoPartyBwithinthetermspecifiedherein.
11.2甲方保证是房屋的合法权利人,有充分的权利出租房屋。
PartyAshallensurethatitislegalownerofthePremisesandhavefullrighttoleasethePremises.
11.3甲方的权利保留PartyAmayreservethefollowingrights.
11.3.1使用公共设施;tousethepublicfacilities;
11.3.2进入房屋内对公共设施进行检查和维修。甲方行使该项权利时,应提前通知乙方,紧急情况除外。

11.4甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。
PartyAshallassistPartyBinregisteringwithindustrialandcommercialadministrationbyprovidenecessarydocuments.
11.5甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。
PartyAshallprocuretheManagementDepartmenttoprovidewater,electricity,airconditioning,heatinganddailymaintenanceduringtheleaseperiod.
11.6如在租赁期届满前两个月,乙方未提出续租请求,或者虽然提出续租请求,但双方在三十天内未就续租合同条款达成一致,甲方有权在工作时间带领其他租户进入房屋查看。
IfPartyBdoesnotsubmitanapplicationforrenewaltwomonthspriortotheexpirationofthisLeaseAgreement,orifPartyBsubmitssuchapplicationbutthepartiesfailtoreachagreementontherenewal,PartyAshallhavetherighttoenterthePremiseswithothertenantatworkhourstoreview.
十二、乙方的权利和义务

12.1自行负责房屋的装修和设施。
PartyBshallberesponsibleforthedecorationandfacilitiesofthePremises.
除非经消防局及甲方同意,乙方不得对房屋的主要结构及装置(包括喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动,应负责将其恢复原状并承担一切费用和相关责任。
PartyBshallnotalter,change,dismantleoradjustthemainstructureorfacilitiesincludingthesmokesensorandspraywithouttheconsentsofPartyAandfirecontrolauthority.IfPartyBmakesanyalteration,dismantleoradjustmentasaforesaid,itshallberesponsibleforrestorationandbearallexpensesandrelatedliabilities.
12.2乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。
